Artikel 1 - Definities

1.1 In deze voorwaarden hebben de volgende begrippen de volgende betekenis: 1.2 Terugtrekkingsperiode: de termijn waarbinnen de consument gebruik kan maken van zijn herroepingsrecht; 1.3 Consument: de natuurlijke persoon die niet handelt in de uitoefening van beroep of bedrijf en een overeenkomst op afstand aangaat met de ondernemer; 1.4 Dag: kalenderdag; 1.5 Duurzaam medium: elk hulpmiddel dat de consument of ondernemer in staat stelt om informatie die aan hem persoonlijk is gericht, op te slaan op een manier die toekomstige raadpleging en ongewijzigde reproductie van de opgeslagen informatie mogelijk maakt. 1.6 Herroepingsrechtde mogelijkheid voor de consument om de overeenkomst op afstand binnen de herroepingstermijn te herroepen; 1.7 Ondernemer: de natuurlijke of rechtspersoon die producten en/of diensten op afstand aan consumenten aanbiedt; 1.8 Overeenkomst op afstand: een overeenkomst waarbij in het kader van een door de ondernemer georganiseerd systeem voor verkoop op afstand van producten en/of diensten, tot en met het sluiten van de overeenkomst uitsluitend gebruik gemaakt wordt van één of meer technieken voor communicatie op afstand; 1.9 Technologie voor communicatie op afstand: middel dat kan worden gebruikt om een overeenkomst te sluiten zonder dat consument en ondernemer samen in dezelfde ruimte zijn.

Artikel 3 - Toepasselijkheid

3.1 Deze algemene voorwaarden zijn van toepassing op elk aanbod van de ondernemer en op elke totstandgekomen overeenkomst op afstand tussen ondernemer en consument. 3.2 Voordat de overeenkomst op afstand wordt gesloten, wordt de tekst van deze algemene voorwaarden aan de consument beschikbaar gesteld. Indien dit redelijkerwijs niet mogelijk is, zal voordat de overeenkomst op afstand wordt gesloten, worden aangegeven dat de algemene voorwaarden bij de ondernemer zijn in te zien en zij op verzoek van de consument zo spoedig mogelijk kosteloos worden toegezonden. 3.3 Indien de overeenkomst op afstand elektronisch wordt gesloten, kan in afwijking van het vorige lid en voordat de overeenkomst op afstand wordt gesloten, de tekst van deze algemene voorwaarden langs elektronische weg aan de consument ter beschikking worden gesteld op zodanige wijze dat deze door de consument op een eenvoudige manier kan worden opgeslagen op een duurzame gegevensdrager. Indien dit redelijkerwijs niet mogelijk is, zal voordat de overeenkomst op afstand wordt gesloten, worden aangegeven waar van de algemene voorwaarden langs elektronische weg kan worden kennisgenomen en dat zij op verzoek van de consument langs elektronische weg of op andere wijze kosteloos zullen worden toegezonden. 3.4 Voor het geval dat naast deze algemene voorwaarden tevens specifieke product- of dienstenvoorwaarden van toepassing zijn, is het tweede en derde lid van overeenkomstige toepassing en kan de consument zich in geval van tegenstrijdige algemene voorwaarden steeds beroepen op de toepasselijke bepaling die voor hem het meest gunstig is.

Artikel 4 - Het aanbod

4.1 Indien een aanbod een beperkte geldigheidsduur heeft of onder voorwaarden geschiedt, wordt dit nadrukkelijk in het aanbod vermeld. 4.2 Het aanbod bevat een volledige en nauwkeurige omschrijving van de aangeboden producten en/of diensten. De beschrijving is voldoende gedetailleerd om een goede beoordeling van het aanbod door de consument mogelijk te maken. Als de ondernemer gebruik maakt van afbeeldingen zijn deze een waarheidsgetrouwe weergave van de aangeboden producten en/of diensten. Kennelijke vergissingen of kennelijke fouten in het aanbod binden de ondernemer niet. 4.3 Elk aanbod bevat zodanige informatie, dat voor de consument duidelijk is wat de rechten en verplichtingen zijn, die aan de aanvaarding van het aanbod zijn verbonden. Dit betreft in het bijzonder:

  • de prijs inclusief belastingen;
  • de mogelijke leveringskosten;
  • de manier waarop de overeenkomst zal worden gesloten en welke acties daarvoor nodig zijn;
  • of het herroepingsrecht al dan niet van toepassing is;
  • de wijze van betaling, levering en uitvoering van de overeenkomst;
  • de termijn voor aanvaarding van het aanbod, of de termijn waarbinnen de ondernemer de prijs garandeert;
  • de hoogte van het tarief voor communicatie op afstand indien de kosten van het gebruik van de techniek voor communicatie op afstand worden berekend op een andere grondslag dan het reguliere basistarief voor de gebruikte communicatiemiddelen;
  • of de overeenkomst na de sluiting wordt gearchiveerd en zo ja, hoe deze door de consument kan worden geraadpleegd;
  • de wijze waarop de consument de door hem in het kader van de overeenkomst verstrekte informatie kan controleren en desgewenst corrigeren voordat de overeenkomst wordt gesloten;
  • eventuele andere talen waarin, naast het Nederlands, de overeenkomst kan worden gesloten;
  • de gedragscodes waaraan de ondernemer zich heeft onderworpen en de wijze waarop de consument deze gedragscodes langs elektronische weg kan raadplegen; en
  • de minimale duur van de overeenkomst op afstand in geval van een overeenkomst die strekt tot voortdurende of periodieke aflevering van producten of diensten.

Artikel 5 - De overeenkomst

5.1 De overeenkomst komt, onder voorbehoud van het bepaalde in lid 4, tot stand op het moment van aanvaarding door de consument van het aanbod en het voldoen aan de daarbij gestelde voorwaarden. 5.2 Indien de consument het aanbod langs elektronische weg heeft aanvaard, bevestigt de ondernemer onverwijld langs elektronische weg de ontvangst van de aanvaarding van het aanbod. Zolang de ontvangst van deze aanvaarding niet door de ondernemer is bevestigd, kan de consument de overeenkomst ontbinden. 5.3 Indien de overeenkomst elektronisch tot stand komt, treft de ondernemer passende technische en organisatorische maatregelen ter beveiliging van de elektronische overdracht van data en zorgt hij voor een veilige webomgeving. Indien de consument elektronisch kan betalen, zal de ondernemer daartoe passende veiligheidsmaatregelen in acht nemen. 5.4 De ondernemer kan zich - binnen wettelijke kaders - op de hoogte stellen of de consument aan zijn betalingsverplichtingen kan voldoen, alsmede van al die feiten en factoren die van belang zijn voor een verantwoord aangaan van de overeenkomst op afstand. Indien de ondernemer op grond van dit onderzoek goede gronden heeft om de overeenkomst niet aan te gaan, is hij gerechtigd gemotiveerd een bestelling of aanvraag te weigeren of aan de uitvoering bijzondere voorwaarden te verbinden. 5.5 De ondernemer zal de consument uiterlijk bij levering van het product, dienst of digitale inhoud de volgende informatie, schriftelijk of op zodanige wijze dat deze door de consument op een toegankelijke manier kan worden opgeslagen op een duurzame gegevensdrager, meesturen:

  • het bezoekadres van de vestiging van de ondernemer waar de consument met klachten terecht kan;
  • the conditions under which and the manner in which the consumer can make use of the right of withdrawal, or a clear statement regarding the exclusion of the right of withdrawal;
  • information about guarantees and existing service after purchase;
  • the price including all taxes of the product, service, or digital content; the costs of delivery insofar as applicable; and the method of payment, delivery, or execution of the distance contract;
  • the requirements for terminating the agreement if the agreement has a duration of more than one year or is indefinite;
  • if the consumer has a right of withdrawal, the model withdrawal form.

Artikel 6 - Herroepingsrecht

6.1 The consumer can dissolve an agreement related to the purchase of a product during a reflection period of at least 14 days without giving reasons. The entrepreneur may ask the consumer for the reason for the withdrawal, but cannot oblige them to state their reason(s). 6.2 The reflection period referred to in paragraph 1 starts on the day after the consumer, or a third party designated by the consumer in advance, who is not the carrier, has received the product, or:

  • if the consumer ordered multiple products in the same order: the day on which the consumer, or a third party designated by them, has received the last product. The entrepreneur may, provided he has clearly informed the consumer about this prior to the ordering process, refuse an order for multiple products with different delivery times.
  • if the delivery of a product consists of multiple shipments or parts: the day on which the consumer, or a third party designated by them, has received the last shipment or the last part;
  • in the case of agreements for regular delivery of products during a certain period: the day on which the consumer, or a third party designated by them, has received the first product. 6.3 For services and digital content that is not supplied on a tangible medium:
  • The consumer can dissolve a service agreement and an agreement for the supply of digital content that is not supplied on a tangible medium during at least 14 days without giving reasons. The entrepreneur may ask the consumer for the reason for withdrawal, but cannot oblige them to state their reason(s). 6.4 The reflection period referred to in paragraph 3 starts on the day following the conclusion of the agreement. 6.5 Extended reflection period for products, services, and digital content that is not supplied on a tangible medium in the absence of information about the right of withdrawal:
  • If the entrepreneur has not provided the consumer with the legally required information about the right of withdrawal or the model withdrawal form, the reflection period ends twelve months after the end of the original reflection period determined in accordance with the previous paragraphs of this article.
  • If the entrepreneur has provided the consumer with the information referred to in the previous paragraph within twelve months after the effective date of the original reflection period, the reflection period expires 14 days after the day the consumer received that information.

Artikel 7 - Kosten in geval van herroeping

7.1 If the consumer exercises their right of withdrawal, at most the costs of return shipment will be borne by them. 7.2 If the consumer has paid an amount, the entrepreneur will refund this amount as soon as possible, but at the latest within 14 days after withdrawal. This is subject to the condition that the product has already been received back by the web retailer or conclusive proof of complete return can be provided. Reimbursement will take place via the same payment method used by the consumer unless the consumer explicitly agrees to another payment method. 7.3 In case of damage to the product due to careless handling by the consumer, the consumer is liable for any depreciation in the value of the product. 7.4 The consumer cannot be held liable for any depreciation in the value of the product if the entrepreneur has not provided all legally required information about the right of withdrawal before or at the conclusion of the agreement.

Article 8 – Exclusion of right of withdrawal

8.1 The entrepreneur can exclude the following products and services from the right of withdrawal, but only if the entrepreneur has clearly stated this in the offer, at least in time for the conclusion of the agreement:

  • Products or services whose price is subject to fluctuations in the financial market over which the entrepreneur has no influence and which may occur within the withdrawal period;
  • Agreements concluded during a public auction. A public auction means a sales method where products, digital content, and/or services are offered by the entrepreneur to the consumer who is personally present or has the opportunity to be personally present at the auction, led by an auctioneer, and where the successful bidder is obliged to purchase the products, digital content, and/or services;
  • Service agreements, after full performance of the service, but only if:
    • the performance has begun with the explicit prior consent of the consumer; and
    • the consumer has declared that they lose their right of withdrawal once the entrepreneur has fully performed the contract;
  • Package travel as referred to in Article 7:500 BW and agreements of passenger transport;
  • Service agreements for providing accommodation if the agreement provides for a specific date or period of performance and other than for residential purposes, goods transport, car rental services, and catering;
  • Agreements related to leisure activities if the agreement provides for a specific date or period of performance thereof;
  • Products manufactured according to consumer specifications, which are not prefabricated, and which are made on the basis of an individual choice or decision by the consumer, or which are clearly intended for a specific person;
  • Products that spoil quickly or have a limited shelf life;
  • Sealed products which, for reasons of health protection or hygiene, are not suitable for return and of which the seal has been broken after delivery;
  • Products that are irrevocably mixed with other products after delivery due to their nature;
  • Alcoholic beverages, the price of which has been agreed upon at the conclusion of the agreement, but the delivery of which can only take place after 30 days, and whose actual value depends on fluctuations in the market over which the entrepreneur has no influence;
  • Sealed audio, video recordings, and computer software, the seal of which has been broken after delivery;
  • Newspapers, periodicals, or magazines, with the exception of subscriptions to these;
  • The supply of digital content other than on a tangible medium, but only if:
    • the performance has begun with the explicit prior consent of the consumer; and
    • the consumer has declared that they lose their right of withdrawal.

Artikel 9 - De prijs

9.1 During the validity period stated in the offer, the prices of the offered products and/or services will not be increased, except for price changes due to changes in VAT rates. 9.2 Contrary to the previous paragraph, the entrepreneur may offer products or services whose prices are subject to fluctuations in the financial market and over which the entrepreneur has no influence, at variable prices. This connection to fluctuations and the fact that any stated prices are target prices are stated in the offer. 9.3 Price increases within 3 months after the conclusion of the agreement are only permitted if they are the result of statutory regulations or provisions. 9.4 Price increases from 3 months after the conclusion of the agreement are only permitted if the entrepreneur has stipulated this and:

  • they are the result of statutory regulations or provisions; or
  • the consumer has the authority to terminate the agreement on the day on which the price increase takes effect. 9.5 The prices mentioned in the offer of products or services include VAT.

Article 10 – Compliance and warranty

10.1 The entrepreneur guarantees that the products and/or services comply with the agreement, the specifications stated in the offer, the reasonable requirements of reliability and/or usability, and the legal provisions and/or government regulations existing on the date of the conclusion of the agreement. If agreed, the entrepreneur also guarantees that the product is suitable for other than normal use. 10.2 A warranty provided by the entrepreneur, manufacturer, or importer does not affect the legal rights and claims that the consumer can assert against the entrepreneur under the agreement.

Artikel 11 - Levering en uitvoering

11.1 The entrepreneur will take the greatest possible care in receiving and executing orders for products and in assessing applications for the provision of services. 11.2 The place of delivery is the address that the consumer has made known to the company. 11.3 With due observance of what is stated in Article 4 of these general terms and conditions, the company will execute accepted orders expeditiously but at the latest within 30 days, unless another delivery period has been agreed. If delivery is delayed, or if an order cannot or can only partially be executed, the consumer will be notified of this no later than 30 days after placing the order. In that case, the consumer has the right to dissolve the agreement without any costs and is entitled to any compensation. 11.4 After dissolution in accordance with the previous paragraph, the entrepreneur will refund the amount paid by the consumer without delay. 11.5 The risk of damage and/or loss of products rests with the entrepreneur up to the moment of delivery to the consumer or a pre-designated representative announced to the entrepreneur, unless explicitly agreed otherwise.

Article 12 – Duration transactions: duration, termination, and renewal

Termination: 12.1 The consumer may terminate an agreement that has been entered into for an indefinite period and which extends to the regular delivery of products (including electricity) or services, at any time with due observance of agreed termination rules and a notice period not exceeding one month. 12.2 The consumer may terminate an agreement that has been entered into for a definite period and which extends to the regular delivery of products (including electricity) or services, at any time by the end of the definite period, with due observance of agreed termination rules and a notice period not exceeding one month. 12.3 The consumer may terminate the agreements referred to in the previous paragraphs:

  • at any time and not be limited to termination at a specific time or during a specific period;
  • at least in the same way as they were entered into by the consumer;
  • always with the same notice period as the entrepreneur has stipulated for themselves. Renewal: 12.4 An agreement that has been entered into for a definite period and which extends to the regular delivery of products (including electricity) or services, may not be tacitly renewed or renewed for a definite period. 12.5 Notwithstanding the previous paragraph, an agreement that has been entered into for a definite period and which extends to the regular delivery of daily or weekly newspapers and magazines may be tacitly renewed for a definite period of up to three months, if the consumer can terminate this extended agreement by the end of the extension with a notice period not exceeding one month. 12.6 An agreement that has been entered into for a definite period and which extends to the regular delivery of products or services, may only be tacitly renewed for an indefinite period if the consumer may terminate at any time with a notice period not exceeding one month. The notice period is not more than three months in the event the agreement extends to the regular, but less than once a month, delivery of daily, news, and weekly newspapers and magazines. 12.7 An agreement with a limited duration for the regular introduction of daily, news, and weekly newspapers and magazines (trial or introductory subscription) is not tacitly continued and ends automatically after the trial or introductory period. Duration: 12.8 If an agreement has a duration of more than one year, the consumer may terminate the agreement at any time after one year with a notice period not exceeding one month, unless reasonableness and fairness dictate otherwise.

Artikel 13 - Betaling

13.1 Unless otherwise provided in the agreement or additional terms, the amounts owed by the consumer must be paid within 14 days after the start of the reflection period, or in the absence of a reflection period, within 14 days after the conclusion of the agreement. In the case of an agreement to provide a service, this period begins on the day after the consumer has received confirmation of the agreement. 13.2 When selling products to consumers, the consumer may never be obliged in general terms and conditions to make an advance payment of more than 50%. When advance payment is stipulated, the consumer cannot assert any rights regarding the execution of the order or service(s) concerned before the stipulated advance payment has been made. 13.3 The consumer has the duty to report inaccuracies in provided or stated payment details to the entrepreneur without delay. 13.4 If the consumer does not meet their payment obligation(s) on time, they owe the statutory interest on the outstanding amount after being informed by the entrepreneur of the late payment and the entrepreneur has given the consumer a period of 14 days to still meet their payment obligations. After the consumer remains in default of payment within this 14-day period, the entrepreneur is entitled to charge the extrajudicial collection costs incurred. These collection costs amount to a maximum of: 15% on outstanding amounts up to € 2,500; 10% on the following € 2,500, and 5% on the following € 5,000 with a minimum of € 40. The entrepreneur can deviate from the stated amounts and percentages for the benefit of the consumer.

Artikel 14 - Klachtenprocedure

14.1 The entrepreneur has a sufficiently publicized complaints procedure and handles the complaint in accordance with this complaints procedure. 14.2 Complaints about the performance of the agreement must be submitted fully and clearly described to the entrepreneur within a reasonable time after the consumer has discovered the defects. 14.3 Complaints submitted to the entrepreneur will be answered within a period of 14 days from the date of receipt. If a complaint requires a foreseeable longer processing time, the entrepreneur will respond within 14 days with a confirmation of receipt and an indication when the consumer can expect a more detailed answer. 14.4 The consumer must give the entrepreneur at least 4 weeks to resolve the complaint by mutual agreement. After this period, a dispute arises that is subject to dispute resolution.

Artikel 15 - Geschillen

15.1 Agreements between the entrepreneur and the consumer to which these general terms and conditions apply are exclusively governed by Dutch law. 15.2 Disputes between the consumer and the entrepreneur about the conclusion or execution of agreements regarding products and services to be delivered or delivered by this entrepreneur may, with due observance of the following provisions, be submitted by both the consumer and the entrepreneur to the Disputes Committee Webshop, PO Box 90600, 2509 LP in The Hague (www.sgc.nl). 15.3 A dispute will only be handled by the Disputes Committee if the consumer has first submitted their complaint to the entrepreneur within a reasonable time. 15.4 No later than twelve months after the dispute arises, the dispute must be submitted in writing to the Disputes Committee. 15.5 When the consumer wants to submit a dispute to the Disputes Committee, the entrepreneur is bound by this choice. Preferably, the consumer first reports this to the entrepreneur. 15.6 If the entrepreneur wants to submit a dispute to the Disputes Committee, the consumer will have to state in writing within five weeks after a written request made by the entrepreneur whether he also wants this or whether he wants the dispute to be dealt with by the competent court. If the entrepreneur does not hear of the consumer’s choice within the period of five weeks, the entrepreneur is entitled to submit the dispute to the competent court. 15.7 The Disputes Committee makes a decision under the conditions as set out in the regulations of the Disputes Committee (www.degeschillencommissie.nl). The decisions of the Disputes Committee are made by means of a binding advice. 15.8 The Disputes Committee will not deal with a dispute or will cease handling it if the entrepreneur has been granted a suspension of payments, has become bankrupt, or has actually terminated business activities before a dispute has been handled by the committee at the hearing and a final decision has been given. 15.9 If, in addition to the Disputes Committee Webshop, another recognized or affiliated disputes committee (SGC or Kifid) is competent, the Disputes Committee Stichting Webshop Keurmerk has preferential jurisdiction for disputes mainly concerning the method of remote sales or services. For all other disputes, this other disputes committee affiliated with SGC or Kifid is competent.

Artikel 16 - Aanvullende of afwijkende bepalingen

16.1 Aanvullende dan wel van deze algemene voorwaarden afwijkende bepalingen mogen niet ten nadele van de consument zijn en dienen schriftelijk te worden vastgelegd dan wel op zodanige wijze dat deze door de consument op een toegankelijke manier kunnen worden opgeslagen op een duurzame gegevensdrager.
